Liquidating will soon become easier

From July 1, it will be easier for small businesses to de-register a company. The simplified mechanism of liquidation of the company will work. To close a small organization that is in the register of SMEs, one application for exclusion from the Unified State Register of Legal Entities will be enough.    

After July 1, 2023, it will be easy to close a small company that is in the SME registry. An application for exclusion from the Unified State Register of Legal Entities is sufficient. Such amendments to the rules of registration and de-registration were introduced by Federal Law No. 249-FZ of 13.06.2023. This law was developed within the framework of the federal project “Creating conditions for an easy start and comfortable business”, which is part of the national project “Small and Medium-sized entrepreneurship and support for individual entrepreneurial initiative”.

In order to pass the simplified procedure of exclusion from the Unified State Register of Legal Entities, a legal entity-an SME entity, it is enough to apply from the founders (participants) of the legal entity. The statement confirms that the settlements with creditors have been completed, the dismissed employees have received all the necessary payments. At the same time, the organization must submit all necessary reports no later than one working day before being excluded from the Unified State Register of Legal Entities.

The organization will be able to be closed on the basis of a single application on form No. P19001, without checking and liquidation balance, but provided that the organization:

– is not a VAT payer or is exempt from its calculation and payment;

– included in the register of SMEs;

– does not own real estate and vehicles;

– has no outstanding settlements with creditors;

– is not in the process of liquidation, reorganization, exclusion from the Unified State Register of Legal Entities by the decision of the registering authority.
