New application form for simplified exclusion from the Unified State Register of Legal Entities

According to the new bill, now owners of small and medium-sized businesses can carry out liquidation in a simplified format. To do this, they need to fill out only one application confirming the submission of tax reports and the absence of debts to creditors. The company must:

  • Be included in the register of SMEs
  • Do not pay VAT or be exempt from taxes in principle
  • Have no debts to employees and contractors
  • Not to own any property
  • Must not undergo bankruptcy/liquidation/reorganization procedure, is not excluded from the Unified State Register of Legal Entities by decision of the tax authorities
  • Has no tax debts, fees, contributions
  • Has no record of unreliability of information

Only if all these regulations are observed, the tax service can make a decision on exclusion and make an entry. Further, the inspection itself will conduct the liquidation procedure and, if the creditors have not made claims for reimbursement of funds, the company will be excluded from the Unified State Register of Legal Entities within a few days.
